Buddle Findlay Partner Sarah McEwan is leading a team advising Nestlé Health Science on the acquisition of The Better Health Company.
Nestlé New Zealand, part of the Nestlé group, the world's largest food and beverage manufacturer, has entered into a conditional agreement to take ownership of The Better Health Company which owns a portfolio of New Zealand and overseas subsidiaries engaged in manufacturing, supplying and exporting vitamins and other health supplements, and producing, supplying and exporting Mānuka honey (including the brands GO Healthy and Egmont Honey).
The Buddle Findlay team is advising on all legal aspects of the transaction, including extensive due diligence, advising on and assisting with Nestlé's regulatory approvals, enabling W&I insurance cover, advising on various industry-specific regulatory matters and all aspects of the transaction documentation. Sarah McEwan is leading the team from Buddle Findlay supported by a large number of specialists including partners Susie Kilty, Mere King and Hamish Selby, senior associates Victoria Watt and Sophie Thoreau, senior solicitors Hannah Lee and Laura Green and solicitor Danielle Jenner.
The Buddle Findlay team as lead counsel are working closely and collaboratively with the deal team from Nestlé and their other external advisers (including PwC as well as local counsel in Australia, the United Kingdom and Hong Kong) to help deliver this strategic transaction.
The transaction remains subject to certain conditions and approvals (including OIO) with completion expected to occur before the end of October 2022.
