Buddle Findlay partners Mark Odlin and Sarah McEwan are leading a team advising MHM Automation Limited on all legal aspects of the transaction, including negotiation of key documentation, and regulatory and governance matters.
MHM announced on 3 November 2023 that it has executed a scheme implementation agreement with United States-based Bettcher Industries, Inc. Under the terms of the agreement Bettcher will acquire all of the shares of MHM for NZ$1.70 per share in cash by way of a scheme of arrangement.
The scheme is subject to MHM shareholder and Court approval, OIO approval and other customary conditions. If all conditions are satisfied, the scheme is expected to be implemented in the first quarter of 2024.
